Terms and Conditions for Services Rendered

Effective Date: January 23, 2025

1. Service Agreement

These Terms and Conditions ("Agreement") govern the provision of electrical services by WireNuts Electrical Solutions LLC ("WireNuts," "we," "us," or "our") to the customer ("Customer," "you," or "your") as described in the work order or service agreement. By accepting a quote, signing a work order, or otherwise engaging our services, you agree to be bound by this Agreement.

2. Scope of Services

WireNuts will provide the electrical services outlined in the work order or service agreement. Any changes to the scope of services must be agreed upon in writing by both parties.

3. Pricing and Payment

a. Pricing: Pricing for services will be provided in a written estimate or quote. The pricing may be based on an hourly rate, a project price, or a combination of both. Any material costs will be clearly outlined in the estimate. b. Payment Terms: Payment terms will be specified in the work order or service agreement. Payment is typically due upon completion of the work, unless otherwise agreed upon in writing. Late payments may be subject to interest charges. c. Material Markups: Any materials purchased by WireNuts on behalf of the Customer may be subject to a markup as specified in the estimate or quote.

4. Permits and Inspections

WireNuts will obtain all necessary permits and inspections required for the work, unless otherwise agreed upon in writing. Any costs associated with permits and inspections will be included in the estimate or quote.

5. Warranty

WireNuts warrants that its workmanship will be free from defects for a period of [1] year(s) from the date of completion of the work. This warranty does not cover damage caused by misuse, neglect, normal wear and tear, or acts of God.

6. Limitation of Liability

a. Indirect Damages: WireNuts will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided, even if WireNuts has been advised of the possibility of such damages. b. Direct Damages: WireNuts's liability for any direct damages arising out of or related to the services provided shall be limited to the amount paid by the Customer for the services. 



7. Indemnification

Customer agrees to indemnify and hold harmless WireNuts and its employees, agents, and subcontractors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorney's fees) arising out of or related to Customer's use of the services, except to the extent such claims, losses, damages, liabilities, costs, and expenses are caused by the negligence or willful misconduct of WireNuts. 

8. Termination

This Agreement may be terminated by either party upon written notice to the other party. In the event of termination, Customer shall pay WireNuts for all services rendered up to the date of termination. 

9. Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be settled by [binding arbitration, mediation, or litigation in a specific court].

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. 

11. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect. 

12. Waiver

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced. 

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri. 

14. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

If to Customer: At the address provided in the work order or service agreement.

or to such other address as either party may designate in writing from time to time.

15. Binding Effect

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
